Terms of service

Last updated: November 5, 2026

These terms are the agreement between your business and Technologies Nakelo Inc. when you use Nakelo: your business’s app, Niko and the add-ons. We wrote them to be easy to read. By creating your app or subscribing, you accept them on behalf of your business.

1. Who we are

Nakelo is a service of Technologies Nakelo Inc., a corporation incorporated in Quebec (“Nakelo”, “we”). “You” means the business that uses Nakelo, and the person who signs it up, who confirms they are authorized to bind it.

Nakelo is meant for businesses. Nothing in these terms takes away rights the law guarantees you and that can’t be waived.

2. Your app and your team

Each business has its own app, hosted in Canada (Montreal). You choose who has access: your team members and, if you use it, your clients in the client portal.

You’re responsible for what is done with your app’s accounts and for keeping passwords secret. If you think an account was used without your permission, write to us right away.

The app’s owner (the person who created it, or the one this role was handed to) manages the subscription, access and data on behalf of the business.

3. The free trial

The trial lasts 14 days, with no credit card. The add-ons and Niko tokens included during the trial are described on nakelo.com.

When the trial ends, if you don’t subscribe, your app is put on hold, then deleted 30 days later. Nothing is charged without your consent.

4. Subscription, prices and billing

The subscription is monthly and renews every month until you cancel it. Prices are the ones shown on nakelo.com and in your app when you subscribe or add an add-on, in Canadian dollars, plus taxes (GST and QST).

The subscription includes a number of users; each extra user and each paid add-on is added to the month’s price. Clients in your client portal never count as users.

Payments are made by card, through Stripe, at the start of each period. We don’t see or keep your card number.

If we change a price, we tell you by email at least 30 days ahead. The new price applies from the next period, and you can cancel before.

If a payment doesn’t go through, we let you know and try again. If it still doesn’t, your app may be put on hold until it’s paid, then deleted 60 days later.

5. Niko tokens and usage-based services

Your subscription includes tokens for Niko, the AI assistant, every month, good for 3 months. When none are left, Niko stops until you add a token pack. A pack you buy doesn’t expire while your subscription is active.

Some services are billed by use, at the price shown in your app: for example texts, call minutes or newsletter emails beyond what is included. They appear on the next month’s invoice.

Referral credit applies to your Nakelo invoices. It can’t be refunded as money.

6. Cancellation and end of service

You can cancel at any time in your app (Settings → Subscription). Cancellation takes effect at the end of the period already paid. Amounts already paid aren’t refunded, unless the law requires it.

After the subscription ends, your app is put on hold for 30 days: you can subscribe again and find everything, or ask us for a copy of your data. It is then deleted. A last backup copy may be kept for up to 30 more days, then it is destroyed.

We may suspend or close an app that doesn’t follow these terms, after a warning when possible. We may act without warning if other people or the security of the service are at risk, or if the law requires it.

If we stop offering Nakelo, we’ll tell you at least 90 days ahead, and you’ll be able to export your data.

7. Your data and your clients’ data

Your data and your clients’ data belong to you. You can export them at any time from your app.

We use them only to run your app, help you when you ask, keep the service safe and comply with the law. We don’t sell them or use them for advertising. Our privacy policy explains the rest: https://nakelo.com/en/privacy-policy

For the personal information of your clients and employees, your business is responsible for it under Quebec’s Law 25, and Nakelo processes it on your behalf, following your instructions. You confirm you have the right to collect this information and agree to comply with the law, including obtaining the necessary consent.

Before sending commercial messages (emails, newsletters, texts), you must have the recipients’ consent, as Canada’s Anti-Spam Legislation requires. Your app handles unsubscribes; you choose who receives your messages.

8. Niko, the AI assistant

Niko helps you write, find, organize and make changes in your app. What it changes can be undone in one click, and nothing is sent to a client without your OK.

AI can make mistakes. Check what Niko produces before relying on it, especially for an amount, a date, a legal text or an important decision.

To answer you, Niko sends the content it needs to Anthropic, in the United States. This content is never used to train AI models.

Modules and changes Niko builds for your app are made at your request: try them in the preview before accepting them.

9. Other companies’ services

Your app can connect to other companies’ services, such as Gmail, Outlook, QuickBooks, Stripe, Square, Twilio, Facebook, Instagram and Google. Their own terms apply. You choose to connect them, and you can disconnect them at any time.

We aren’t responsible for their outages, changes or decisions, for example an account closed by one of them. A payment from your clients made through Stripe or Square is between your business, your client and that provider.

10. What isn’t allowed

Using Nakelo to send spam or messages without consent; for phishing, scams or malware; for illegal or hateful content or content that exploits people; or to infringe anyone’s rights (copyright, trademarks, privacy).

Trying to get around security, to access another business’s app or to overload the service; copying, reselling or renting Nakelo without our written consent.

11. What you publish

You’re responsible for the content of your app, your site, your posts and your messages, including what Niko helps you write and you publish. You confirm you have the right to use the texts, photos and logos you put there.

You allow us to host, display and transmit this content, only to run the service. Anyone can report a site made with Nakelo at https://nakelo.com/en/abus

12. Intellectual property

Nakelo, its software, modules, design and brand belong to Technologies Nakelo Inc. During your subscription, we give you the right to use them for your business, including the changes made for your app.

If you make a suggestion, we may use it to improve Nakelo, with no obligation to you. We never reuse your data for another business.

13. Availability and backups

We do everything we can to keep your app available at all times, and your data is backed up continuously. There may still be interruptions, including for maintenance: we try to do it at night and to warn you ahead when possible.

We improve Nakelo often, and a feature may change or be replaced. If we remove an important feature you pay for, we’ll tell you ahead.

14. Limitation of liability

To the extent the law allows, Nakelo is provided as is, and our total liability to your business, whatever the cause, is limited to the amounts you paid us in the 12 months before the event.

We aren’t liable for indirect losses, such as lost profits or lost business.

These limits don’t apply to intentional or gross fault, or to bodily or moral injury.

15. Changes to these terms

We may change these terms. For an important change, we tell you by email or in your app at least 30 days before it applies. If you don’t agree, you can cancel before that date; continuing to use Nakelo after it means you accept it.

16. Governing law and language

These terms are governed by the laws of Quebec and the federal laws of Canada that apply there. The courts of Quebec have jurisdiction over any dispute.

These terms are written in French; this English version is provided for convenience. If they differ, the French version prevails.
